Senior Corporate Development Manager – Mergers and Acquisitions (m/f/d)

The position is assigned to the corporate development department of the SMS group. As the first contact person for M&A topics, she is responsible for the origination, evaluation and implementation of M&A transactions for the SMS group. In addition, general projects in the field of corporate development are carried out, including strategic growth and improvement initiatives. Responsibility of end-to-end M&A activities: identification and screening of targets, build of deal pipelines, carry out evaluation analyses and preparation of investment memorandums for decision-making bodies. Head of Group-wide corporate development projects: strategy analyses, process and organization optimizations, business field assessments and implementation of transformation programs. Market and competition analyses to identify strategic options and opportunities. Creating meaningful business cases, strategic scenario analyses and investment themes. Implementation and coordination of due diligence in cooperation with internal departments and external consultants. In the case of investments: development of integration concepts (PMI) and value-capture plans together with the disciplines: definition of synergies, timetables, responsibilities and KPIs; Accompanying integration up to the realization of measurable effects. For diveestment: preparation of the transaction scope, structure, outsourcing finances and other transaction documents such as information memorandums. Negotiations of Transaction Conditions together with relevant stakeholders, especially the Legal Department Stakeholder Management at Group level: close cooperation with Corporate Finance, Controlling, Legal, Tax, HR and Head of Business; regular status and decision updates to management. Conception and presentation of clear, structured executive pitches and decision templates for the Executive Board as well as for other bodies.

You can provide a completed university degree in business, finance, economics, engineering or comparable; Master/MBA advantageous. We are also important: 5–8 years of relevant professional experience with detectable M&A experience combined with project/strategy experience (Corporate Development, Strategy Consulting or Private Equity). Industry experience in plant engineering, mechanical engineering or the steel industry. Funded knowledge of corporate assessment, financial modeling, due diligence processes and business case development. Experience in Post-Merger Integration (PMI) and realization of operational synergies. Experience in dealing with external consultants and in contract negotiations. Secure handling of MS Excel (Advanced), PowerPoint; Experience with BI tools (e.g. Power BI/Tableau) of advantage. project management and moderation capabilities; Ability to lead across areas without direct control. High level of confidentiality, integrity and entrepreneurial judgment. German and English language skills. Ready to travel nationally and internationally according to transaction and project requirements.
