Lawyer Corporate Law (and Employment Law) (m/f/d)

In this position, you play a central role in the corporate supervision of our group. Your work location is Jena, alternatively the site can also be located in Leipzig or Dietzenbach (at Frankfurt am Main). Their focus is clearly on corporate and corporate law. You work closely with the management, HR, Finance as well as other interfaces and actively contribute to developing legally secure and practical corporate structures. Work law will also be part of your task. Your duties You are responsible for the company's legal support and coordination of central corporate processes and ensure legal structures and transparent cooperation with internal and external stakeholders. Creation, testing and coordination of shareholders, approval and circulation decisions, including complete legal preparation. Preparation, legal documentation and structured follow-up of shareholder meetings. Monitoring compliance with statutes, rules of procedure, rules of competence as well as intra-group approval and approval processes. Correspondence and coordination with the shareholder or the corporate mother, in particular on resolution templates, information papers and release processes. Legal accompaniment of annual financial statements and the use of results, including the necessary decisions. Corporate support in structural measures, in particular in mergers, settlements, re-firmations, capital measures and restructuring, taking into account the requirements of the UmwG. Maintenance and updating of company-law documentation, organ and participation lists, authorisations and register documents. Coordination of external lawyers, notaries and, if necessary, auditors. You will additionally and in close cooperation with the HR sector.

Senior Consultant (m/w/d) Knowledge of company law and a good understanding of corporate relationships. Current knowledge of labour law. Multiannual professional experience in a legal department, firm or group of companies. Structured, responsible and independent working with a view to practical solutions. Joy of cooperation, coordination and communication with different internal and external contacts. Very good knowledge of German and English in word and writing. Discrete, reliable personality with a pronounced understanding of quality and service.
