Senior Legal Counsel Banking & Finance Law (m/f/d)

Comprehensive legal advice on banking and financial issues at group level, in particular on corporate financing, liquidity management and capital measures Legal support and advice of the Treasury team in structuring, negotiating and implementing financing (e.g. syndicated and bilateral loans incl. LMA documentation), intra-group financing, cash pooling structures and alternative forms of financing such as factoring, forfaitation and supply chain finance Negotiation and documentation of financial transactions including collateral (e.g. guarantees, guarantees, underlying collateral) and management of external consultants and banks – from structuring to signing/closing Legal support and active participation of strategic financing projects, in particular acquisition financing, refinancing and capital market transactions. Advising the operational units in customer contracts with financing law Monitoring and legal assessment of existing financing contracts (e.g. covenants, reporting obligations) in close cooperation with Treasury. Creation and further development of internal policies, standards and processes in the financial sector (e.g. Treasury Policies) analysing and evaluating legal risks of complex financial transactions and deriving practical recommendations for management; Support for decision templates for the Management Board and Supervisory Board Processing of KYC requests and ensuring compliance with regulatory requirements (in particular GwG) and maintaining the transparency register

Senior Consultant (m/d) Multiannual relevant professional experience in banking and financial law, ideally in an internationally active business law firm and/or as a syndicate attorney in a company or bank Funded knowledge in the structuring and negotiation of credit financing as well as in the handling of current financing documentation (e.g. LMA standards) Experience in cooperation with treasury functions and a good understanding of economic relationships and financing structures German and English knowledge in word and writing Impressed analytical skills and the ability to clearly and address complex facts High level of self-responsibility, enforceability, decision-making strength and flexibility Team-oriented working and enjoying interdisciplinary cooperation in an international environment Integrity, sense of responsibility and a strong risk awareness
