Legal Counsel (m/f/d) - Corporate / M&A

As a Legal Counsel (m/f/d) with a focus on corporate and M&A, you support our Legal Department in all legal issues focusing on corporate issues, transactions and complex contractual structures. You work closely with management and act as an interface between legal, finance and corporate development. In your role, you play a key role in identifying legal risks in growth-relevant topics and creating efficient, scalable structures for an internationally active company. In addition, you support our company in minimizing contractual risks and ensuring compliance with regulations. Through your work, you can support Quantum Systems in the mission to get out of the air with unmanned aerospace systems (sUAV) on the scale for data acquisition solutions.

What is your Day to Day Mission: Support for social policy issues (foundations, restructuring, organ decisions, governance issues)

Legal support of M&A transactions, joint ventures and strategic investments (including structuring, due diligence, contract documentation and closing)

Creation, testing and negotiation of complex German and English-language contracts (in particular transaction documents, partnership agreements, shareholder agreements, cooperation agreements)

Legal advice of internal stakeholders (in particular finance, business development, sales, purchasing) on economic issues

Development and standardization of corporate governance structures, templates and legal processes

What you bring to the team:

Full legal expert:in or successfully completed studies in business law (LL.B./LL.M.) or comparable qualification.

Relevant professional experience in the field of corporate / M&A / company law in a firm or an international company.

Experience in monitoring transactions, financing rounds or complex corporate projects of advantage.

Knowledge in German company and contract law.

Embossed understanding of economic relationships and entrepreneurial thinking.

Ability to structure complex facts clearly, pragmatically and solution-oriented.

Self-employed, structured working and high communication and coordination capability.

German and English knowledge in word and writing.
